Bull Run Investment Management Terms of Use

This Terms of Use Agreement ("Agreement") governs your access to and use of Bull Run Investment Management, LLC's ("BRIM") client-facing web services, digital communications, account access tools, and any associated data or content (collectively, the "Site"). This Site is intended exclusively for use by BRIM advisory clients ("you") who agree to these terms. By selecting "I Agree," registering an account, or accessing the Site, you confirm that you have the authority to enter into this Agreement and intend to be legally bound by its terms.

1. Use of Electronic Services You are granted a nonexclusive, nontransferable, limited license to access the Site and use our electronic account services ("Electronic Services") strictly for lawful purposes. Use is subject to the Acceptable Use Policy below.

2. Third Party Service ProvidersWe may partner with third-party vendors ("Third Party Providers") to deliver portions of the Electronic Services. By using the Site, you authorize BRIM to share relevant information with these providers as necessary. These providers are third-party beneficiaries to this Agreement.

3. Market Data and Research Content The Site may display financial news, data, or analyst content from external sources ("Information Providers"). Such content is for informational purposes only and is provided "as-is" and "as-available." BRIM does not guarantee accuracy, completeness, or timeliness, and assumes no liability for investment decisions made based on such information.

4. Alerts and Notifications You may opt to receive market alerts, commentary, or updates via email or other digital channels. These Alerts are informational only and are not personalized investment advice. Delivery may be delayed or disrupted due to factors outside our control.

5. Beta Services BRIM may test new features or tools marked as "Beta." These are experimental and provided without warranties. Use is at your own risk.

6. Disclaimers and No Warranties ALL CONTENT AND ELECTRONIC SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. BRIM DISCLAIMS ALL IMPLIED WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

7. Limitation of Liability BRIM, its affiliates, and its Third Party Providers shall not be liable for indirect, incidental, or consequential damages related to your use of the Site or reliance on content. Our total liability will not exceed any fees paid by you for access to the Electronic Services.

8. Security and Confidentiality You are responsible for safeguarding your login credentials and maintaining the confidentiality of any information you access. Notify BRIM immediately if you suspect unauthorized access or security breaches.

9. Intellectual Property All content on the Site, including software, design, and documentation, is proprietary to BRIM or its licensors. You may not reproduce or distribute it without written permission.

10. Termination We may suspend or terminate your access to the Site at our discretion, without notice. Upon termination, you must cease use of all Electronic Services.

11. Governing Law This Agreement is governed by the laws of the Commonwealth of Virginia. Any disputes arising out of this Agreement shall be subject to binding arbitration in Fairfax County, VA.

12. Indemnification You agree to indemnify and hold BRIM, its affiliates, and Third Party Providers harmless from any claims, damages, or legal fees arising from your use of the Site or violation of this Agreement.

13. Acceptable Use Policy You agree not to use the Site to:

• Post or transmit unlawful, defamatory, or harmful content
• Infringe upon the intellectual property of others
• Interfere with the functioning of the Site or the experience of other users
• Engage in fraudulent, misleading, or unethical conduct

Violations may result in suspension or termination of access.

14. Updates to This Agreement We may modify these terms at any time. Your continued use of the Site after updates constitutes your acceptance of the revised terms.

If you do not agree to these terms, you must exit the Site immediately.
